1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the PMFlow property management operations platform at pmflow.com.au (the "Platform"), operated by PMFlow Pty Ltd ("PMFlow", "we", "us", "our").
By creating an account or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Platform.
If you are using the Platform on behalf of a property management agency or other organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of Service
PMFlow is an AI-powered property management operations platform designed for Australian property managers. The Platform provides:
- Arrears monitoring and staged communication workflows
- Risk assessment and scoring
- Legal notice generation and compliance tracking
- Maintenance job management and SLA tracking
- Inspection scheduling, reporting, and compliance
- Lease renewal pipeline management
- Bond, utility, and safety compliance tracking
- AI-assisted draft communications and document generation
- Inbound message management and classification
- Document storage and evidence management
- Owner reporting and vendor management
- Calendar, task management, and notification systems
3. Account Registration
3.1 Eligibility
The Platform is intended for use by licensed property managers and property management agencies operating in Australia. You must be at least 18 years old to create an account.
3.2 Account Responsibilities
You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorised access
3.3 Agency Accounts
Property management agencies are responsible for managing user access within their organisation, including adding, removing, and reassigning team members. The agency is responsible for ensuring that all users within the agency comply with these Terms.
4. Subscriptions and Payment
4.1 Plans and Pricing
Platform access is provided on a subscription basis. Current plans, pricing, and included features are listed on our pricing page at pmflow.com.au/pricing. We reserve the right to modify pricing with 30 days' notice to active subscribers.
4.2 Payment Terms
Subscription fees are billed in advance on a monthly or annual basis through Stripe. You authorise us to charge the payment method on file for all applicable fees. Failed payments may result in suspension of access after a 7-day grace period.
4.3 Cancellation
You may cancel your subscription at any time through the Platform settings. Upon cancellation:
- Access continues until the end of the current billing period
- Data is retained for 90 days to allow for reactivation
- After 90 days, data is scheduled for deletion (subject to legal retention requirements)
4.4 Refunds
Subscription fees are non-refundable except where required by Australian Consumer Law.
5. AI-Generated Content
5.1 Draft Communications
The Platform uses artificial intelligence (Anthropic's Claude) to generate draft communications, risk assessments, recommendations, and other content. All AI-generated content is:
- Presented as a draft for review — not sent automatically
- Subject to property manager review, editing, and approval before any action is taken
- Labeled within the Platform as AI-generated
5.2 No Legal Advice
AI-generated content, including legal notices and compliance recommendations, does not constitute legal advice. The Platform generates documents based on prescribed templates and legislative references, but:
- PMFlow is not a law firm and does not provide legal services
- Generated documents should be reviewed by a qualified legal professional where appropriate
- Property managers are responsible for verifying the accuracy and suitability of all generated content before use
- Compliance tracking and deadline calculations are operational tools, not legal certifications
5.3 Advisory Only
All AI assessments (risk scores, urgency classifications, triage recommendations, renewal recommendations, conversation summaries) are advisory only. They are designed to assist professional judgement, not replace it. Property managers retain full responsibility for all decisions made using the Platform.
5.4 Accuracy
While we strive for accuracy, AI-generated content may contain errors, omissions, or outdated information. We do not warrant that AI outputs are complete, accurate, or suitable for any particular purpose.
6. Data Ownership and Licence
6.1 Your Data
You retain all ownership rights to the data you input into or generate through the Platform ("Your Data"), including tenancy records, communications, documents, and notes. We do not claim ownership of Your Data.
6.2 Licence to PMFlow
By using the Platform, you grant PMFlow a limited, non-exclusive licence to use, process, store, and transmit Your Data solely for the purpose of providing and improving the Platform services. This includes transmitting relevant data to our AI provider (Anthropic) for draft generation.
6.3 Data Portability
You may export Your Data at any time through the Platform's export features. Upon subscription cancellation, data export is available during the 90-day retention period.
6.4 Aggregated Data
We may use aggregated, de-identified data derived from Platform usage for analytics, benchmarking, and service improvement. Aggregated data cannot be used to identify any individual tenant, owner, or agency.
7. Acceptable Use
Your use of the Platform is subject to our Acceptable Use Policy. In summary, you must not:
- Use the Platform for any unlawful purpose
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorised access to other accounts or systems
- Use the Platform to harass, threaten, or intimidate tenants or owners
- Send unsolicited bulk communications unrelated to legitimate property management operations
- Misrepresent AI-generated content as personally authored legal advice
- Circumvent or disable security features, access controls, or rate limits
Violation of the Acceptable Use Policy may result in suspension or termination of your account.
8. Compliance and Legal Framework
8.1 Western Australian Legislation
The Platform includes features designed to support compliance with Western Australian property management legislation, including the Residential Tenancies Act 1987 (WA) and associated regulations. However:
- The Platform is an operational tool, not a compliance certification service
- Compliance tracking reflects data entered by property managers — the Platform does not independently verify physical conditions, inspect properties, or certify legal compliance
- Prescribed form templates (Form 21, Form 1A, Form 10, Form 19, Form 1, Form 1AA, etc.) are based on our interpretation of current legislation and regulations
- Legislative requirements may change — property managers should verify current requirements with the relevant authority
8.2 Multi-Jurisdiction
The Platform currently supports Western Australian compliance rules as the default jurisdiction. Compliance values are configurable per jurisdiction. Agencies operating in other Australian states should verify that configured values match their local legislation.
9. Service Availability
9.1 Uptime
We aim to maintain high availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice where practical)
- Unscheduled outages or technical issues
- Third-party service disruptions (Supabase, Anthropic, Resend, Twilio, Stripe)
- Force majeure events
9.2 Support
Support is available via email at support@pmflow.com.au. Response times may vary based on your subscription plan and the nature of the inquiry.
10. Limitation of Liability
10.1 Platform Provided "As Is"
To the maximum extent permitted by law, the Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
10.2 Limitation
To the maximum extent permitted by Australian law (including the Australian Consumer Law), PMFlow's total liability to you for any claims arising from or related to your use of the Platform is limited to the fees you paid to PMFlow in the 12 months preceding the claim.
10.3 Exclusions
PMFlow is not liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of data, profits, or business opportunities
- Errors in AI-generated content that was approved and sent by a property manager
- Actions taken by property managers based on Platform recommendations
- Failure to comply with legal requirements where the Platform provided correct information that was not acted upon
- Third-party service failures or disruptions
10.4 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.
11. Indemnification
You agree to indemnify and hold harmless PMFlow, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any law or regulation
- Content you upload or communications you send through the Platform
- Any dispute between you and a tenant, owner, or third party
12. Intellectual Property
12.1 PMFlow IP
The Platform, including its design, code, algorithms, documentation, and branding, is the intellectual property of PMFlow Pty Ltd. You may not copy, modify, distribute, or create derivative works of the Platform without our written permission.
12.2 Feedback
If you provide feedback, suggestions, or feature requests, you grant PMFlow a non-exclusive, royalty-free, perpetual licence to use and incorporate that feedback into the Platform.
13. Termination
13.1 By You
You may terminate your account at any time by cancelling your subscription and requesting account deletion.
13.2 By PMFlow
We may suspend or terminate your access if you:
- Violate these Terms or the Acceptable Use Policy
- Fail to pay subscription fees after the grace period
- Use the Platform in a way that poses a security risk or legal liability
- Are subject to legal proceedings that affect your ability to use the Platform
13.3 Effect of Termination
Upon termination, your right to access the Platform ceases immediately (or at the end of the billing period for voluntary cancellation). Data retention follows the schedule in our Privacy Policy.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of Western Australia, Australia. You submit to the exclusive jurisdiction of the courts of Western Australia.
14.2 Informal Resolution
Before initiating formal proceedings, you agree to contact us at legal@pmflow.com.au to attempt to resolve the dispute informally. We will endeavour to respond within 14 days.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and PMFlow regarding the Platform.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
15.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
15.4 Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets.
15.5 Notices
Notices to PMFlow should be sent to legal@pmflow.com.au. We may send notices to you via the email address associated with your account or through the Platform.
16. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes at least 30 days in advance by email or through the Platform. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
