1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the PMFlow property management operations platform at pmflow.com.au (the "Platform"), operated by PMFlow Pty Ltd ("PMFlow", "we", "us", "our").

By creating an account or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Platform.

If you are using the Platform on behalf of a property management agency or other organisation, you represent that you have the authority to bind that organisation to these Terms.

PMFlow is an AI-powered property management operations platform designed for Australian property managers. The Platform provides:

The Platform is intended for use by licensed property managers and property management agencies operating in Australia. You must be at least 18 years old to create an account.

Property management agencies are responsible for managing user access within their organisation, including adding, removing, and reassigning team members. The agency is responsible for ensuring that all users within the agency comply with these Terms.

4. Subscriptions and Payment

4.1 Plans and Pricing

Platform access is provided on a subscription basis. Current plans, pricing, and included features are listed on our pricing page at pmflow.com.au/pricing. We reserve the right to modify pricing with 30 days' notice to active subscribers.

4.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis through Stripe. You authorise us to charge the payment method on file for all applicable fees. Failed payments may result in suspension of access after a 7-day grace period.

You may cancel your subscription at any time through the Platform settings. Upon cancellation:

5. AI-Generated Content

5.1 Draft Communications

The Platform uses artificial intelligence (Anthropic's Claude) to generate draft communications, risk assessments, recommendations, and other content. All AI-generated content is:

AI-generated content, including legal notices and compliance recommendations, does not constitute legal advice. The Platform generates documents based on prescribed templates and legislative references, but:

All AI assessments (risk scores, urgency classifications, triage recommendations, renewal recommendations, conversation summaries) are advisory only. They are designed to assist professional judgement, not replace it. Property managers retain full responsibility for all decisions made using the Platform.

5.4 Accuracy

While we strive for accuracy, AI-generated content may contain errors, omissions, or outdated information. We do not warrant that AI outputs are complete, accurate, or suitable for any particular purpose.

6. Data Ownership and Licence

6.1 Your Data

You retain all ownership rights to the data you input into or generate through the Platform ("Your Data"), including tenancy records, communications, documents, and notes. We do not claim ownership of Your Data.

6.2 Licence to PMFlow

By using the Platform, you grant PMFlow a limited, non-exclusive licence to use, process, store, and transmit Your Data solely for the purpose of providing and improving the Platform services. This includes transmitting relevant data to our AI provider (Anthropic) for draft generation.

6.3 Data Portability

You may export Your Data at any time through the Platform's export features. Upon subscription cancellation, data export is available during the 90-day retention period.

6.4 Aggregated Data

We may use aggregated, de-identified data derived from Platform usage for analytics, benchmarking, and service improvement. Aggregated data cannot be used to identify any individual tenant, owner, or agency.

7. Acceptable Use

Your use of the Platform is subject to our Acceptable Use Policy. In summary, you must not:

8.1 Western Australian Legislation

The Platform includes features designed to support compliance with Western Australian property management legislation, including the Residential Tenancies Act 1987 (WA) and associated regulations. However:

The Platform currently supports Western Australian compliance rules as the default jurisdiction. Compliance values are configurable per jurisdiction. Agencies operating in other Australian states should verify that configured values match their local legislation.

We aim to maintain high availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to:

10. Limitation of Liability

10.1 Platform Provided "As Is"

To the maximum extent permitted by law, the Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

10.2 Limitation

To the maximum extent permitted by Australian law (including the Australian Consumer Law), PMFlow's total liability to you for any claims arising from or related to your use of the Platform is limited to the fees you paid to PMFlow in the 12 months preceding the claim.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.

You agree to indemnify and hold harmless PMFlow, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

12.1 PMFlow IP

The Platform, including its design, code, algorithms, documentation, and branding, is the intellectual property of PMFlow Pty Ltd. You may not copy, modify, distribute, or create derivative works of the Platform without our written permission.

12.2 Feedback

If you provide feedback, suggestions, or feature requests, you grant PMFlow a non-exclusive, royalty-free, perpetual licence to use and incorporate that feedback into the Platform.

13. Termination

You may terminate your account at any time by cancelling your subscription and requesting account deletion.

We may suspend or terminate your access if you:

Upon termination, your right to access the Platform ceases immediately (or at the end of the billing period for voluntary cancellation). Data retention follows the schedule in our Privacy Policy.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Western Australia, Australia. You submit to the exclusive jurisdiction of the courts of Western Australia.

14.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@pmflow.com.au to attempt to resolve the dispute informally. We will endeavour to respond within 14 days.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and PMFlow regarding the Platform.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets.

Notices to PMFlow should be sent to legal@pmflow.com.au. We may send notices to you via the email address associated with your account or through the Platform.

16. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes at least 30 days in advance by email or through the Platform. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
